Terms of Service

1. Introduction

These Terms of Service ("Terms") constitute a legally binding agreement between you and Binary Leap OU ("TenantsDB", "we", "us", or "our"), a company registered in Estonia (registry code 16471040, Harju maakond, Tallinn, Lasnamae linnaosa, Sepapaja tn 6, 15551, Estonia). These Terms govern your access to and use of the TenantsDB platform, including all associated APIs, command line tools, documentation, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, in which case "you" or "your" shall refer to such entity.

If you do not agree to these Terms, you may not access or use the Service.

2. Definitions

"Account" means the user account you create to access the Service.

"API" means the application programming interfaces provided by TenantsDB for programmatic access to the Service.

"API Key" means the authentication credential issued to you upon account creation or generation, used to access the Service.

"Blueprint" means a versioned schema template created within a workspace and deployed to tenant databases.

"Customer" means the individual or entity that creates an Account and subscribes to the Service.

"Customer Data" means all data, content, and information that you or your end users store, transmit, or process through the Service, including but not limited to data stored in tenant databases, workspace databases, and control databases.

"L1 (Shared)" means the shared infrastructure isolation level where tenant databases reside on shared database servers with logical separation.

"L2 (Dedicated)" means the dedicated infrastructure isolation level where tenant databases reside on individually provisioned virtual machines.

"Project" means an organizational unit within your Account that contains workspaces, blueprints, tenants, and API keys.

"Tenant" means an isolated database instance created within your Project, representing one of your end customers.

"Workspace" means a development environment within a Project used to design database schemas, operating in either tenant mode or control mode.

3. Account Registration

To use the Service, you must create an Account by providing a valid email address and password. You are responsible for maintaining the confidentiality of your Account credentials, including API keys and proxy passwords. You are responsible for all activity that occurs under your Account, whether or not authorized by you. You agree to notify us immediately at support@tenantsdb.com if you become aware of any unauthorized use of your Account.

You must provide accurate and complete information during registration and keep your Account information current. We reserve the right to suspend or terminate Accounts that contain false or misleading information.

4. Service Description

TenantsDB is a multi-tenant database orchestration platform. The Service allows you to provision isolated database environments for your end customers, manage schema deployments across your database fleet, and route queries through a unified proxy layer.

The Service supports PostgreSQL, MySQL, MongoDB, and Redis database engines. The Service includes a query proxy with TLS encryption, schema versioning and deployment, keyword and AI-powered search, automated backups, and migration between shared and dedicated infrastructure.

5. Subscription Plans and Billing

The Service is offered under multiple subscription tiers: Free, Starter, Growth, Scale, and Enterprise. Each tier includes specific limits on tenant count, API request rates, search request volumes, and available features. Current pricing and tier details are published at tenantsdb.com/pricing.

All payments are processed by Paddle.com Market Limited ("Paddle"), which acts as the Merchant of Record for all transactions. By subscribing to a paid plan, you agree to Paddle's terms of service in addition to these Terms.

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as set forth in our Refund Policy. You are responsible for any applicable taxes, which Paddle will calculate and collect on our behalf.

We reserve the right to modify pricing upon 30 days written notice to your registered email address. Price changes will take effect at the start of your next billing cycle following the notice period.

6. Free Tier

The Free tier provides limited access to the Service at no charge. Free tier accounts are subject to the following conditions:

(a) A maximum of 5 tenants per account. (b) L2 dedicated infrastructure is not available on the Free tier. (c) Search data retention is limited to 7 days. (d) We reserve the right to terminate Free tier accounts that have had no API activity for 12 consecutive months. We will provide 30 days written notice to your registered email address before termination.

7. L2 Dedicated Infrastructure

L2 dedicated virtual machines are available as an add-on to all paid plans. L2 is not available on the Free tier. Each L2 instance is billed per database per month. L2 instances are provisioned on Hetzner Cloud infrastructure in the region you specify. Available regions are listed at the /regions API endpoint.

8. Customer Data Ownership and Use

You retain all rights, title, and interest in and to your Customer Data. We do not claim ownership of any Customer Data. We will not access, use, or disclose your Customer Data except as necessary to provide, maintain, and improve the Service, to comply with applicable law, or with your explicit consent.

We do not sell, rent, or share your Customer Data with third parties for their own purposes.

9. Data Isolation

Each tenant database is physically separated from other tenant databases. L1 tenants receive a separate logical database on shared infrastructure. L2 tenants receive a dedicated virtual machine. In both cases, tenant data is not accessible by other tenants. There are no shared tables, no row-level security policies, and no tenant_id columns. Each tenant operates with its own database credentials and connection string.

10. Security

All connections to the Service are encrypted via TLS. API requests are authenticated via API keys transmitted in the Authorization header. Database proxy connections are authenticated via project credentials or API keys depending on the database type.

We implement rate limiting, IP-based abuse detection, and automatic ban mechanisms to protect the Service. We perform automated backups to encrypted S3 storage.

While we implement commercially reasonable security measures, no system is completely secure. You acknowledge that you are responsible for implementing appropriate security practices within your own applications.

11. Availability

We will use commercially reasonable efforts to make the Service available. However, we do not guarantee any specific level of uptime or availability. The Service may be temporarily unavailable due to scheduled maintenance, infrastructure upgrades, or circumstances beyond our reasonable control.

We will use reasonable efforts to provide advance notice of scheduled maintenance.

12. Acceptable Use

You agree not to use the Service to:

(a) Violate any applicable law, regulation, or third-party rights. (b) Store or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable. (c) Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems or networks connected to the Service. (d) Interfere with or disrupt the integrity or performance of the Service. (e) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service. (f) Use the Service to build a competing product or service. (g) Exceed the rate limits, storage limits, or other usage limits of your subscription tier. (h) Share API keys or Account credentials with unauthorized parties.

13. Account Suspension and Termination

We may suspend or terminate your access to the Service if:

(a) You violate these Terms or the Acceptable Use policy. (b) Your Account is used in a manner that poses a security risk to the Service or other customers. (c) You fail to pay applicable fees when due. (d) Required by applicable law or regulation. (e) Your Free tier account has been inactive for 12 consecutive months, subject to 30 days prior notice.

You may terminate your Account at any time by contacting support@tenantsdb.com or through the API. Upon termination, we will retain your data for 30 days to allow recovery. After 30 days, all Customer Data, including tenant databases, workspace databases, backups, and search indexes, will be permanently deleted.

14. Data Deletion and Retention

Upon account termination or cancellation, all Customer Data is retained for 30 days. During this period, you may request data export or account restoration by contacting support@tenantsdb.com. After 30 days, all data is permanently and irreversibly deleted from our systems, including all databases, backups, snapshots, and search indexes.

Query logs are retained for 7 days on the Free tier. Paid tiers have no automatic log deletion.

Soft-deleted tenants are retained with their snapshots until permanently deleted by you or until account termination.

15. Intellectual Property

The Service, including all software, APIs, documentation, user interfaces, and trademarks, is the property of Binary Leap OU and is protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service other than the limited right to use the Service in accordance with these Terms.

"TenantsDB", "OmniQL", and associated logos are trademarks of Binary Leap OU. You may not use these trademarks without our prior written consent.

16. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Binary Leap OU, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:

(a) Your access to or use of, or inability to access or use, the Service. (b) Any unauthorized access to or alteration of your data or transmissions. (c) Any third-party conduct on the Service. (d) Any other matter relating to the Service.

Our total aggregate liability arising out of or in connection with these Terms or the Service shall not exceed the greater of (i) the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim, or (ii) one hundred euros (EUR 100).

17. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim all warranties, including without limitation implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant that defects will be corrected or that the Service is free of viruses or other harmful components.

18. Indemnification

You agree to indemnify, defend, and hold harmless Binary Leap OU and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

(a) Your use of the Service. (b) Your violation of these Terms. (c) Your violation of any applicable law or regulation. (d) Your violation of any rights of a third party. (e) Any Customer Data stored or processed through the Service.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email to your registered address at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and terminate your Account.

20. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Estonia, without regard to its conflict of laws provisions. Any disputes arising out of or in connection with these Terms shall be resolved by the courts of Harju County, Estonia.

Before initiating formal proceedings, you agree to attempt to resolve any dispute by contacting us at legal@tenantsdb.com. We will attempt to resolve the dispute through good faith negotiation within 60 days.

21. General Provisions

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any provision of these Terms shall not constitute a waiver of such provision. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Binary Leap OU regarding the Service. These Terms may not be assigned or transferred by you without our prior written consent.
